GENERAL TERMS AND CONDITIONS OF SALE
The offer and sale of products on Santini’s website www.santinicycling.com are governed by these General Terms and Conditions of Sale, i.e. the mandatory contractual terms that the buyer (hereinafter the “Consumer”) must read carefully and accept in order to confirm their purchase order, together with the information available on the Returns and Warranty page.
1. Introduction
The Website is intended solely and exclusively for retail sales and is therefore for the exclusive use of consumers as defined by consumer protection laws, i.e. adults who are natural persons, having legal capacity, and who purchase for personal use and not for commercial or professional purposes.
Providing untrue data may entail civil and criminal liability.
2. Amendments to the General Terms and Conditions
Santini S.p.A. reserves the right to amend these General Terms and Conditions from time to time where such amendments are necessary to comply with new legal provisions, for technical reasons, to align them with the sales models adopted, or to better protect the rights of the parties. The most recent version of the General Terms and Conditions is published from time to time on (www.santinicycling.com). In any case, each purchase shall be governed by the version of the General Terms and Conditions in force at the time the relevant order is submitted.
3. Parties to the Contract
Santini S.p.A.’s online store (www.santinicycling.com) is managed by Santini S.p.A., with registered office in Via Zanica 14, 24126 Bergamo (BG), Italy, Companies Register, Tax Code and VAT No. 01631560164 – R.E.A. 224255, Share Capital € 1,000,000.00 fully paid up.
For the purposes of processing the Consumer’s purchase and any related returns, Santini may make use of third-party providers specialised in logistics and payment processing.
The Consumer’s order constitutes an offer to SANTINI S.p.A. to enter into a sales contract. By transmitting the order form electronically, the Consumer unconditionally accepts and undertakes to comply with these General Terms and Conditions of Sale in relations with Santini. If the Consumer does not agree with any of the terms set out in these General Terms and Conditions of Sale, they are invited not to submit the order form for the purchase of products on www.santinicycling.com. By transmitting the order form, the Consumer confirms that they have read and accepted the General Terms and Conditions of Sale and the additional information contained on santinicycling.com, including that referred to via links, including the General Terms and Conditions of Sale and the notice regarding the right of withdrawal.
4. Consumer Rights
a) Communications
The Consumer may contact Santini using the methods indicated on the Website www.santinicycling.com, through the “Contact Us” section, and by e-mail at shoponline@santinicycling.com for any information or request.
b) Transparency and Product Information
Santini products are described and presented clearly and in detail in each technical product sheet available on the purchasing website www.santinicycling.com, indicating intended use, price, shipping methods and any other information necessary to allow the Consumer to purchase transparently and knowingly. Some product characteristics may change over time or be slightly different from what is displayed on screen (for example, some shades of colour may differ). The Consumer is therefore required to pay the utmost attention not only to the online image but also to the description in the product sheet, as Santini shall not be liable for such minor differences.
c) Right of Withdrawal
Pursuant to Articles 52–59 of Legislative Decree 206/2005 (Italian Consumer Code), the Consumer has the right to withdraw from a distance or off-premises contract, without having to provide any reason and without incurring costs other than those provided for by applicable law. The right of withdrawal is granted to protect the Consumer in online sales and is mandatory within the limits established by law.
Exercising the right of withdrawal results in termination of the contract and the refund of the amounts paid, under the terms and conditions set out in the Consumer Code.
In this Section, Santini intends to regulate the right of withdrawal as well as the return and refund conditions relating to purchases made on www.santinicycling.com, in compliance with current consumer protection legislation.
The information below sets out the rights granted to the Consumer and the operational procedures to exercise them.
c1. Time Limits to Exercise the Right of Withdrawal
Under Article 52 of the Italian Consumer Code, the Consumer has 14 days to withdraw from a distance or off-premises contract, calculated, in the case of a sale of goods, from the day on which the Consumer (or a third party designated by them) acquires physical possession of the last item covered by the order.
Santini S.p.A. offers its customers an extended period of 45 days from the date on which the consumer (or the third party designated by them) acquires physical possession of the last item covered by the order to withdraw from the contract, without having to provide reasons and without penalties.
c2. How to Exercise the Right of Withdrawal
To exercise the right of withdrawal, the Consumer must inform Santini of their decision to withdraw from the contract before the 45-day period expires, by means of an explicit statement sent using one of the methods below at the Consumer’s choice (methods 1 and 2 are alternatives to each other).
1. Explicit notice
The Consumer may use the standard withdrawal form set out in Annex I, Part B of Legislative Decree 206/2005 (Italian Consumer Code), available here: modulo-di-recesso-Santini.pdf, or submit any other explicit statement of their decision to withdraw from the contract.
Use of the standard form is not mandatory, provided that the notice contains a clear statement of the intention to withdraw, the identifying details of the order and the Consumer, and is sent within the time limit indicated above.
The withdrawal notice must be sent to the following e-mail address: shoponline@santinicycling.com.
The Consumer bears the burden of proof regarding timely exercise of the right of withdrawal; therefore, the use of tools providing evidence of dispatch is recommended.
2. Online procedure (recommended)
Santini provides Consumers with a dedicated online procedure to exercise the right of withdrawal (available at: https://returns.itsrever.com/santini). This digital procedure is recommended as it facilitates and speeds up the management of the withdrawal and the subsequent return and refund, but it does not limit the Consumer’s ability to use, alternatively, the method under point 1 (Explicit notice).
Once the withdrawal notice is received, Santini will confirm receipt without undue delay on a durable medium (e.g. confirmation email). This fulfils the requirement of Article 54(3) of the Italian Consumer Code by providing the consumer with an official confirmation.
c3. Conditions for Returning Products
After communicating the withdrawal and receiving confirmation from Santini that the request has been received, the Consumer must return the goods within 14 days. Under Article 57 of the Italian Consumer Code, the goods must be returned within 14 days from the date on which the Consumer communicated the decision to withdraw. The deadline is met if the goods are shipped back to Santini before the 14-day period expires. It is therefore important to ship the return parcel within this timeframe.
As these are clothing products, returned items must be intact and in a condition that allows them to be resold. The Consumer may handle and try on the garments only to the extent necessary to verify their nature, characteristics, size and fit, as would be permitted in a physical retail store. Any use beyond this is not permitted, including use outdoors or prolonged use, washing, or the removal of labels, seals or original accessories.
The product must be returned complete in all its parts, undamaged, and suitable for resale. Consumers are therefore advised to keep original packaging, labels and accessories, and to return the product complete in every part, avoiding damage.
Returning the item intact as described above will ensure a full refund to the Consumer. If the returned product shows signs of use beyond what is necessary for functional inspection, Santini, in accordance with the law, reserves the right to apply a deduction from the refund proportionate to the diminished value of the returned item.
c4. How to Return Products
Santini supports customers by offering a courier return service. Following approval of the withdrawal request, the Consumer will receive a prepaid shipping label (if the return qualifies for free returns, see section c5 below) or a label to be paid by the Consumer where return shipping costs are at the Consumer’s expense. The Consumer is required to package the items appropriately for the return shipment to avoid damage during transport and, where possible, to reuse the original packaging.
The return must be sent to the following address, unless otherwise instructed by Santini: Santini S.p.A. – Via Zanica 14, 24126 Bergamo (BG), Italy.
The risk of returning the goods remains with the Consumer until receipt by Santini, unless the prepaid label provided by the company is used.
c5. Return Shipping Costs
The direct costs of returning goods subject to contractual withdrawal (which by law are borne by the consumer) are as follows:
• borne by the Consumer if the total order value is below €200 for Italy and €300 for EU and non-EU countries;
• borne by Santini if the total order value is equal to or above the thresholds indicated above.
Where, to exercise the right of withdrawal, the Consumer chooses the online procedure (see c2 – Online procedure), Santini’s system will automatically indicate whether return shipping costs will be free of charge or payable by the Consumer.
c6. Refund to the Consumer
In the event of valid exercise of the right of withdrawal, Santini shall reimburse all payments received from the Consumer without undue delay and in any event within 14 days from the day on which it is informed of the decision to withdraw from the contract. Santini fulfils this obligation by processing the refund as quickly as possible: generally, the refund procedure is initiated as soon as the return is received and checked in the warehouses.
Actual credit times may vary depending on the banking system or credit card issuer, but typically fall within 5–7 business days. If, after a reasonable period from notification, the refund is not visible to the Consumer, Santini recommends contacting the payment provider and, if necessary, Santini Customer Service for verification.
The refund method will be the same as the one used by the consumer for the original payment, unless otherwise expressly agreed with the customer.
Refund amount: subject to any deductions for diminished value (see c3 – Conditions for Returning Products), the Consumer will be refunded the full amount of the price paid for the product.
5. Product Prices
For all orders delivered to EU countries: Product prices may be subject to updates. Prices are inclusive of VAT. The prices shown on www.santinicycling.com at the time of the order shall apply.
For all orders delivered to non-EU countries: Product prices may be subject to updates. The prices shown on www.santinicycling.com at the time of the order shall apply. These prices are to be considered DAP (Delivery At Place) and therefore do not include any additional taxes (VAT), duties or import tariffs required by the customs authorities of the destination country.
Please note that changing the delivery country may affect the price due to a change of currency.
Discounts and/or offers cannot be combined unless expressly stated.
The sale price indicated on www.santinicycling.com does not include shipping costs, which will be shown before the order is confirmed. The Consumer must pay these costs in addition to the total price indicated in the order and in the order confirmation.
If the Products are to be delivered to a country outside the European Union, the total price does not include any customs duties or other sales taxes required in the delivery country. The Consumer undertakes to pay such charges in addition to the total price indicated in the order and in the order confirmation.
We reserve the right to change the prices displayed on www.santinicycling.com at any time and without notice. Such changes will not affect orders that have already been submitted.
In the event of an obvious and recognisable material error in the publication of the price (for example, a price that is manifestly inconsistent with the actual value of the product), Santini reserves the right to cancel the order in accordance with the principles of contractual good faith, providing a full refund of any amounts paid.
6. Product Availability
The Website is accessible internationally. If, due to objective reasons, one or more products are unavailable despite the order having been correctly submitted, the Consumer will be promptly informed by Customer Service via e-mail. Santini reserves the right not to accept the order in the event of product unavailability, notifying the Consumer promptly after receipt of the order. In such case, the order shall be deemed cancelled and Santini shall refund any sums already paid by the Consumer using the same payment method used for the original transaction.
7. Purchase Conditions
After carefully reading all product information and selecting what they intend to purchase, the Consumer will be directed to a virtual cart where they can review all information relating to the selected products before finalising the purchase by clicking the “Buy now” button.
Once the selection of Products in the cart is complete, to finalise the purchase of the products included therein, the Consumer must alternatively:
a) register on the Website by providing the required identification data and obtaining login credentials for any future access;
or
b) if already registered, log in using their access credentials;
or
c) if not registered and not wishing to register, provide the data necessary to complete the purchase and deliver the product.
The Consumer is required to check the purchase order summary with utmost care.
The Consumer must indicate their first and last name, the delivery address for the selected Products, the billing address if different from the delivery address and, optionally, a phone number at which they can be contacted for any communications from Santini.
The Consumer will see an order summary with the option to confirm and to choose delivery options and payment methods.
By selecting the order confirmation button, the Consumer declares that they have read these General Terms and Conditions of Sale and accept them in full. Final confirmation of the order will then be requested; the order will be sent to Santini and will produce the effects of this contract, which shall be deemed fully accepted by the Consumer.
For this reason, we reiterate the recommendation to read this document carefully.
Each purchase contract for the Products shall be deemed concluded when the Consumer receives the order confirmation from Santini by e-mail.
Together with submission of the purchase order, the Consumer accepts confirmation of the information relating to the order placed.
8. Delivery / Shipping Costs
The website www.santinicycling.com indicates product availability, delivery times and the countries to which products can be delivered.
Shipping of the Products ordered by the Consumer will take place according to the method chosen by the Consumer among those available and indicated on the Website at the time the order is submitted.
The courier is responsible for loss of or damage to the goods until delivery. In the event of visible damage to the packaging, the Consumer must inspect the product in the presence of the courier at the time of delivery and accept the shipment “with reservation”.
9. Payment Methods
The Consumer may choose to pay using one of the digital payment methods listed on the checkout page.
Payment will be made through a secure connection on a platform specialised in payment processing and authorisation, in accordance with the highest security standards.
In the case of payment by credit card, the financial information (for example, the credit/debit card number or its expiry date) will be transmitted, via encrypted protocol, to Banca Sella, without any third party having access to it in any way. Such information will never be used by Santini except to complete procedures relating to the purchase and to issue the relevant refunds in the event of returns following exercise of the right of withdrawal, or where necessary to prevent or report fraud to the police authorities on santinicycling.com. The Consumer expressly agrees that performance of the contract by Santini begins when the total cost is credited to Santini’s bank account. The Products shall become the full property of the Consumer upon confirmation of payment.
Please note that in online sales, pursuant to Article 22 of Presidential Decree 26/10/1972 No. 633 and Article 2, letter oo) of Presidential Decree 21 December 1996 No. 696 (as confirmed by Resolution No. 274/E of 5 November 2009), the seller is not required to issue an invoice (nor a receipt) to a consumer purchaser (i.e. not holding a VAT number). However, the Customer may request that Santini issue a tax invoice, if desired, by contacting Customer Service at: shoponline@santinicycling.com or by completing the contact form available at: https://www.santinicycling.com/en/contact-us. In such case, Santini will send the requested invoice to the e-mail address provided. For invoice issuance purposes, the information provided by the Customer at the time of the order shall prevail. After issuance of the invoice, it will not be possible to change the data provided; Customers are therefore invited to check the entered data carefully before submitting the invoice request. . If the invoice is not requested by the day following receipt of the order confirmation, it cannot in any case be requested and issued at a later date. If the Customer does not request issuance of the invoice, Santini will in any case send—by e-mail or to the address provided during registration or in the order form—a purchase receipt with no fiscal validity, useful solely for assistance or warranty purposes.
Payments may also be made using Promotional Vouchers. In particular, the following may be used: VALUE VOUCHERS and/or DISCOUNT CODES.
Value Voucher: Value Vouchers are personalised discount codes that allow a fixed-value discount on purchases made on www.santinicycling.com. To use the Voucher as a payment method for your online purchase, enter the Voucher code in the “Enter promotional code” section and click “APPLY” to apply it to the order.
The Value Voucher applies to the entire Order amount and, for technical reasons, can only be used for purchases whose value exceeds the voucher value by at least €1.00.
Discount Codes : Discount Codes are personalised codes that allow a percentage discount on purchases made on www.santinicycling.com. To use the discount code, the Consumer must enter it in the “Enter promotional code” field and click “APPLY”. The promotional code may be used only once and cannot be combined with other promotional codes. In the event of a return of the entire order, the Customer will be refunded only the amount actually paid net of the discount code. In the event of a partial return, since the value of the discount is allocated variably across individual items, the refund due to the Consumer will be equal to the amount actually paid for the returned products.
10. Right to Cancel the Order
If the Consumer wishes to cancel an order that has just been placed, they may do so by logging into their personal account via the following link: https://account.santinicycling.com
Once logged in, the Consumer can select the relevant order from the list of their orders and cancel it directly, provided that the cancellation option is still available based on the order's processing status.
Once the order has been cancelled, the Consumer will receive confirmation of the cancellation and information regarding any applicable refund.
11. Copyright / Intellectual Property
All trademarks, product and/or collection names, any distinctive sign, name, image, photograph, written or graphic text used on the Website or relating to the Products, and any other intellectual property rights are and remain the exclusive property of Santini S.p.A.; therefore, any form of reproduction, misappropriation or use in identical or similar form is strictly prohibited.
The same applies to the Website content, which may not be reproduced, transferred, modified or used in any way.
Any violation of this provision will be pursued by the competent authorities.
12. Privacy Protection
The Consumer’s personal data will be processed by Santini in compliance with the EU General Data Protection Regulation (GDPR) No. 2016/679 and any subsequent amendments, as well as applicable national legislation, as specified in the privacy notice provided through the Website at the time of access, registration or purchase and available in the Website’s privacy section at: https://www.santinicycling.com/en/content/privacy-10.
Processing activities not necessary for performance of the contract will be carried out only with the Consumer’s express consent.
13. Applicable Law and Dispute Resolution
These General Terms and Conditions of Sale are governed by Italian law and in particular by Legislative Decree 6 September 2005 No. 206 (Italian Consumer Code), with specific reference to the rules on distance contracts, and by Legislative Decree 9 April 2003 No. 70 on certain aspects of electronic commerce.
